Position Summary
As Company Secretary, you will play a critical role in driving corporate governance excellence and ensuring compliance with the Companies Act, SEBI regulations, and applicable corporate laws.
You’ll lead Board and Committee governance, manage shareholder communication, oversee statutory reporting, and guide senior management on governance and regulatory matters.
This role calls for precision, integrity, and sound judgment in managing complex compliance landscapes within a dynamic multinational environment.
Key Responsibilities
Regulatory Compliance & Governance
- Ensure seamless compliance with the Companies Act, SEBI (LODR), SEBI (PIT), FEMA, and other applicable laws.
- Oversee timely filings and disclosures with Stock Exchanges (NSE, BSE), ROC, and other regulatory authorities.
- Provide strategic guidance and training to the Board and senior leadership on governance frameworks and compliance expectations.
- Administer and monitor the Insider Trading Policy, including trading window management, disclosures, and awareness sessions for designated persons.
Board, Committee, and Shareholder Management
- Independently plan, convene, and manage Board and Committee meetings — including agenda planning, circulation of papers, drafting of minutes, and director appointments or resignations.
- Lead the planning and execution of Annual General Meetings (physical and virtual) and the end-to-end Postal Ballot process.
- Facilitate communication between the Board, management, and shareholders to ensure governance transparency and smooth decision-making.
Reporting, Audits, and Assurance
- Lead preparation of the Annual Report, including corporate governance disclosures and secretarial sections.
- Drive secretarial audits and coordinate governance assurance activities.
- Prepare the Business Responsibility & Sustainability Report (BRSR) and oversee assurance for BRSR Core.
Legal Drafting & Regulatory Liaison
- Draft and review legal documents, agreements, and affidavits to ensure accuracy and compliance.
- Liaise with SEBI, ROC, AD Banks, and other statutory bodies for approvals, audits, and inspections.
Qualifications and Experience
Essential
- Qualified Company Secretary (ACS) with membership of the Institute of Company Secretaries of India (ICSI).
- 8–12 years of post-qualification experience, preferably with a listed or multinational company.
- Strong knowledge of the Companies Act, SEBI regulations, and FEMA.
- Proven experience in managing Board and Committee governance, corporate filings, and statutory compliance.
- Excellent drafting, documentation, and communication skills.
Desirable
- Experience in the pharmaceutical, healthcare, or manufacturing sector.
- Exposure to corporate restructuring and cross-border compliance.
- Working knowledge of secretarial software tools (e.g., Diligent, Blueprint).
